2. Definitions
- “EULA” means this End-User License Agreement.
- “Digital Products” means downloadable files, bundles, templates, e-books, and other digital assets offered by Flexabits.
- “Online Services” means features that rely on our servers (e.g., license verification, updates, remote content, SaaS functionality, if and when offered).
- “Personal (Non-Commercial) Use” means private, individual use by a natural person for personal planning, learning, or reference, and not in connection with any business, professional, client work, institutional, classroom/organizational deployment, resale, sublicensing, monetization, or other commercial purpose.
- “Lifetime Access” means access to the purchased Digital Product during its Commercial Lifecycle. Local copies you have already downloaded remain usable for Personal (Non-Commercial) Use. No perpetual hosting or updates are promised, and any online or third-party-dependent features may be modified, suspended, or discontinued at any time for technical, security, legal, or business reasons, to the extent permitted by applicable law.
- “Lifetime Updates” means that, for the purchased version, any maintenance updates and major updates (e.g., v1.0.0 > 2.0.0) that we release during its Commercial Lifecycle, if and when released, are provided at no additional charge and may include bug, performance, and compatibility fixes. They are governed by the same license as the purchased version, and downloading them is optional. Eligible updates can be obtained by re-downloading via My Account > Downloads. Some Digital Products may reach a final stable version with no further planned features. Where feasible, we will announce new versions or significant updates for a Digital Product on our Blog. Nothing in this clause obligates us to release any particular update, and all commitments remain limited to the Product’s Commercial Lifecycle. We do not guarantee error-free operation or uninterrupted availability. Nothing here limits any non-waivable consumer rights under applicable law.
- “Commercial Lifecycle” means the period during which we actively offer, maintain, or support a Digital Product. This period may be modified, suspended, or ended for technical, security, legal, third-party platform, or business reasons, to the extent permitted by applicable law. Where feasible, we will provide advance notice of material changes, consistent with our Terms of Use. This definition does not limit any non-waivable consumer rights under applicable law or any express commitments we make elsewhere in this EULA regarding Lifetime Access or Lifetime Updates, and no service-level agreement (SLA) or perpetual availability is implied.
3. Relationship to Other Documents
This EULA governs the license scope and use of our Digital Products and related Online Services. Our Terms of Use govern generally and set the order of precedence between this EULA and our other policies (including the Privacy Policy, Cookie Policy, Refund Policy, Legal Notice, and Disclaimer). The Privacy Policy covers data matters, and the Cookie Policy covers tracking technologies and preferences. In the event of any inconsistency, the order of precedence in the Terms of Use will apply. For warranties, availability, and liability limits, see our Terms of Use, including the sections titled Warranties and Disclaimers and Limitation of Liability; those provisions govern the Digital Products and any Online Services.
4. Eligibility
The Digital Products and licenses are intended for adults (18+). See our Terms (Eligibility).
5. Grant of License for Personal (Non-Commercial) Use
- Upon purchase, you receive a limited, non-exclusive, non-transferable, revocable license to use the Digital Products strictly for Personal (Non-Commercial) Use under this EULA. Digital Products are licensed, not sold. This license is revocable only in the circumstances expressly described in this EULA (including termination for breach, fraud, payment reversal/chargeback, or circumvention).
- Unless stated otherwise at checkout, one license equals one natural person (you may install/use it on your own devices/accounts).
- Modifications for your own Personal (Non-Commercial) Use are allowed, but you must not redistribute or publicly share the original Digital Products or any modified versions (derivatives).
- Personal (Non-Commercial) Use includes using the Digital Products for your own private budgeting, study, or planning, but does not include using the Digital Products to provide services to clients, to manage a business, to generate advertising revenue, or to create content that you sell or license to others. Nothing in this EULA limits any non-waivable consumer rights under applicable law.
6. Commercial License (Not Currently Offered)
If/when we introduce a Commercial License and you purchase it at checkout, you will obtain a limited, non-exclusive, non-transferable, revocable license to:
- (i) Use the Digital Products in business/professional/monetized contexts.
- (ii) Create deliverables for end clients, provided you do not redistribute source files as templates, do not upload to repositories/marketplaces, and do not resell the Digital Products “as-is”.
Until a Commercial License is explicitly offered and purchased, all use of the Digital Products in business, institutional, educational, client, or monetized contexts is prohibited. Details (scope, seat/team limits, support, territory, term, pricing) will be specified in the then-current EULA and at checkout. Purchases without the Commercial License remain Personal (Non-Commercial) Use only.
7. Professional Services / SOW (Not Currently Offered)
Digital Products do not include professional services. Any future professional services (e.g., customized templates, consulting, design, development) would be delivered under a separate Statement of Work (a written services agreement, “SOW”) and are outside this EULA. Work would begin only after a countersigned SOW (and any required initial invoice). Deliverables would be digital only. We do not custody client funds, open accounts, process payments on behalf of clients, or manage advertising budgets or investments. Purchasing a Digital Product does not grant service rights or commercial use.
8. Scope of Use
- Downloads: You may download a purchased Digital Product up to 10 times per account during its Commercial Lifecycle. This limit exists to prevent abuse. If you reach this limit for legitimate reasons (such as device failure or migration), contact us and we will reasonably assist after verification. We may adjust this limit for technical or security reasons.
- No transfers/sublicenses: The license is personal, non-transferable, and non-sublicensable. You must not assign or transfer your license or rights under this EULA to any other person.
- Local access vs. online features: You may keep and use copies already downloaded on your devices. Features that depend on Online Services are provided during the Digital Product’s Commercial Lifecycle and may change or cease for technical, security, business, or legal reasons, consistent with our Terms of Use.
9. Permitted Uses
- Personal use, individual study, and creative reference (non-redistributed).
- Private storage and use on your own devices/accounts.
- Offline viewing of downloaded copies.
10. Prohibited Activities
In addition to the Acceptable Use restrictions set out in our Terms, you must not use the Digital Products or any related Online Services to engage in any of the following activities (each, a “Prohibited Activity”). The following uses are strictly prohibited and may result in license termination:
- Commercial use: Without a Commercial License (business, institutional, educational, client, or monetized applications).
- Distribution: Resale, sharing, gifting, or otherwise making the Digital Products or any derivatives available to third parties.
- Public exposure: Uploading originals/derivatives to marketplaces, platforms, repositories, or social media.
- Script exposure: Publicly sharing or publishing any identifier used to reference our Google Apps Script libraries or projects (including any Script ID, libraryId, or similar internal technical identifiers associated with the Digital Products or related Online Services), including by posting them in public repositories, forums, or other public channels.
- Technical misuse: Reverse engineering (except to the extent permitted by law), automation, scraping, data extraction, or removal or alteration of copyright notices, watermarks, or legal identifiers.
- AI/ML and Web3: Using the Digital Products or their contents in training datasets, machine learning models, NFTs, or Web3 projects.
- Circumvention: Bypassing (or attempting to bypass) technical limits, license controls, or access restrictions.
11. Delivery, Availability, and Support
Digital delivery: Digital Products are delivered electronically, as described in our Terms and Refund Policy. You are responsible for keeping your own backups of any downloaded files.
Online Services: Server-dependent features are available during normal operations over the Digital Product’s Commercial Lifecycle but are not guaranteed to be uninterrupted or continuously available; outages or changes may occur for technical, security, business, or legal reasons. Where a change or discontinuation is within our reasonable control, we will provide at least 30 days’ prior notice, consistent with our Terms of Use.
Apps Script: Some of our Digital Products run through a Google Apps Script library and rely on Google services. In the standard configuration, when you use these Digital Products, the contents are processed within your own Google account and Google services. Flexabits does not receive or store the contents on its own servers, and we do not perform in-product telemetry or analytics on that content. We may process limited technical data and technical metadata as described in our Privacy Policy for security, delivery verification, and fraud prevention purposes. For clarity, processing performed by Google is governed by Google’s Terms of Service and Privacy Policy.
12. Refunds, Chargebacks, and License Status
Refunds (if approved under our Refund Policy) and chargebacks for a transaction automatically revoke the corresponding license(s) and access keys. We may keep minimal technical logs (per our Privacy Policy) to verify delivery, license status, and fraud prevention. Nothing in this section prevents you from exercising any chargeback, refund, or statutory rights you may have under applicable law; however, if a transaction is reversed, we are not required to continue providing access to the corresponding Digital Products.
13. Intellectual Property and Third-Party Materials
All rights, title, and interest in the Digital Products (including updates, content, and metadata) remain with Flexabits or its licensors. Third-party components (e.g., fonts, libraries, stock assets) may be subject to their own licenses; where applicable, those terms govern your use of such components. The Digital Products may include technical protection measures (including code obfuscation) intended to prevent unauthorized use. You must not attempt to remove, disable, or circumvent such measures. 14. Compliance, Export Controls, and Sanctions
Your use of the Digital Products and any related Online Services must comply with applicable laws and regulations, including U.S., UK, EU, and UN export-control and sanctions regimes. By using the Digital Products, you represent and warrant that (i) you are not located in, and are not a resident of, any country or territory subject to comprehensive sanctions, and (ii) you are not listed on any applicable sanctions, denied-parties, or restricted-parties list. 15. Term, Termination, and Effect
We may terminate for material breach after notice and an opportunity to cure for at least ten (10) days, except in cases of illegality, fraud, payment reversal, or circumvention of technical controls, or where we reasonably believe immediate action is necessary to protect the Services or comply with applicable law. Nothing in this Section limits our rights under the Terms of Use to suspend, restrict, or terminate account or service access. Upon termination or refund/chargeback, your right to use the Digital Product ends and you must stop using it and delete any copies in your possession or control. Provisions on IP, payments accrued, limitations of liability, indemnity, dispute resolution, and any other provisions which by their nature should survive termination will continue in effect.
16. Indemnity
To the extent permitted by law, and except where such indemnities are not allowed for consumers under mandatory laws in their place of residence, you will indemnify Flexabits LLC against third-party claims directly arising from:
- (a) your illegal use of the Digital Product;
- (b) your breach of this EULA;
- (c) a proven infringement of third-party rights caused by your content or use.
This does not apply where a claim is caused by our negligence, our breach, or a defect in the Digital Product. For more information, see our Terms (Indemnity).
17. Reporting Abuse or Infringement
Report suspected abuse or infringement to [email protected] with the URL, available evidence, and contact details. We acknowledge within 1 business day and aim to respond within 5 business days. We may act against manifestly unfounded or bad-faith reports under applicable law. We do not impose fees or costs on good-faith reporters.
18. Updates
We may update this EULA from time to time. When we do, we will revise the “Last Updated” date at the top. Unless stated otherwise, the updated version will apply on a going-forward basis. Where required by law or where changes are material, we will provide additional notice (for example, via the Site or by email). We may also summarize material changes on our License Terms Log.
